Remarks

Horizon Kinetics Asset Management LLC (HKAM) serves as the investment advisor to various funds and accounts (Managed Accounts) that hold securities of the Issuer. HKAM has no intention of making any discretionary sales of the Issuer's securities but is required to sell shares on behalf of the Managed Accounts in response to client direction and/or regulatory limitations. As a result of such instruction, HKAM may execute sales with other brokers than those listed that contain different tax lots.
